Common use of Appointment for Perfection Clause in Contracts

Appointment for Perfection. Each Lender hereby appoints the Collateral Agent and each other Lender as its agent for the purpose of perfecting Liens, for the benefit of the Administrative Agent, the Collateral Agent and the Secured Parties, in assets which, in accordance with Article 9 of the UCC or any other applicable law can be perfected by possession. Should any Lender (other than the Collateral Agent) obtain possession of any such Collateral, such Lender shall notify the Collateral Agent thereof, and, promptly upon the Administrative Agent’s request therefor shall deliver such Collateral to the Collateral Agent or otherwise deal with such Collateral in accordance with the Collateral Agent’s instructions.

Should any Lender (other than the Collateral Agent) obtain possession or control of any such Collateral, such Lender shall notify the Collateral Agent thereof, and, promptly upon the Administrative Collateral Agent’s request therefor shall deliver such Collateral to the Collateral Agent or otherwise deal with such Collateral in accordance with the Collateral Agent’s instructions.

Each Lender (in its capacity as Lender and as a holder of any other Secured Obligations) hereby appoints the Collateral Agent and each other Lender as its agent for the purpose of perfecting Liens, for the benefit of the Collateral Agent, the Administrative Agent, the Collateral Agent Lenders and the other holders of Secured PartiesObligations, in assets which, in accordance with Article 9 of the UCC or any other applicable law can be perfected only by possessionpossession or control. Should any Lender (other than the Collateral Agent) obtain possession or control of any such Collateral, such Lender shall notify the Collateral Agent thereof, thereof and, promptly upon the Administrative Collateral Agent’s request therefor therefor, shall deliver such Collateral to the Collateral Agent or otherwise deal with such Collateral in accordance with the Collateral Agent’s instructions.

Each Lender of the Lenders, on behalf of itself and any of its Affiliates that are Secured Parties, hereby appoints the Collateral Agent and each other Lender as its agent for the purpose of perfecting Liens, for the benefit of the Administrative Collateral Agent, the Collateral Administrative Agent and the Secured Parties, in assets which, in accordance with Article 9 of the UCC or any other applicable law can be perfected only by possessionpossession or control. Should any Lender (other than the Collateral Agent) obtain possession or control of any such Collateral, such Lender shall notify the Collateral Agent thereof, and, promptly upon the Administrative Collateral Agent’s request therefor shall deliver such Collateral to the Collateral Agent or otherwise deal with such Collateral in accordance with the Collateral Agent’s instructions.

Should any Lender (other than the Collateral Applicable Agent) lawfully obtain possession of any such Collateral, such Lender shall notify the Collateral Applicable Agent thereof, and, promptly upon the Administrative Applicable Agent’s request therefor shall deliver such Collateral to the Collateral Applicable Agent or otherwise deal with such Collateral in accordance with the Collateral Applicable Agent’s instructions.
