Appointment of a Fiscal Agent. (a) In order to satisfy the eligibility requirements of Section 8.06 (insofar as such requirements relate to ratings), the Trustee may appoint a Fiscal Agent. Any Fiscal Agent shall at all times maintain a long-term unsecured debt rating of no less than "AA-" from Fitch and "Aa3" from Xxxxx'x (or, in the case of either Rating Agency, such other rating as shall not result in the withdrawal, 240 downgrade or qualification of the rating assigned by such Rating Agency to any Class of Certificates rated by such Rating Agency, as confirmed in writing by such Rating Agency).
