Appointment of and Acceptance by Escrow Agent. The Investor(s) Activision and the Company Shareholders hereby appoint Escrow Agent to serve as Escrow Agent escrow agent hereunder. Escrow Agent hereby accepts such appointment and, upon receipt by wire transfer of the Escrow Funds Shares and Stock Powers in accordance with Section 3 below, agrees to hold, invest invest, disburse and disburse release the Escrow Funds Property in accordance with this Escrow Agreement.

Escrow Agent hereby accepts such appointment and, upon receipt by wire transfer of the Escrow Funds in accordance with Section 3 below, agrees to hold, invest and disburse the Escrow Funds in accordance with this Escrow Agreement.

Appointment of and Acceptance by Escrow Agent. a. The Investor(s) ----------------------------------------------- and the Company hereby appoint Escrow Agent to serve as Escrow Agent hereunder. Escrow Agent hereby accepts such appointment and, upon receipt by wire transfer of the Escrow Funds in accordance with Section 3 below, agrees to hold, invest and disburse the Escrow Funds in accordance with this Agreement.

Appointment of and Acceptance by Escrow Agent. The Investor(s) and the Company Depositor hereby appoint appoints Escrow Agent to serve as Escrow Agent escrow agent hereunder. Escrow Agent hereby accepts such appointment and, upon receipt by wire transfer of the Escrow Funds Proceeds in accordance with Section 3 below, agrees to hold, invest and disburse the Escrow Funds Proceeds in accordance with this Escrow Agreement.

Appointment of and Acceptance by Escrow Agent. The Investor(s) and the Company hereby appoint appoints the Escrow Agent to serve as Escrow Agent escrow agent hereunder. The Escrow Agent hereby accepts such appointment and, upon receipt by wire transfer of the Escrow Funds Warrants in accordance with Section 3 section l(b) below, agrees to hold, invest hold and disburse the Escrow Funds release such Warrants in accordance with the terms this Agreement.

Appointment of and Acceptance by Escrow Agent. The Investor(s) Purchasers and the Company Sellers hereby appoint Escrow Agent to serve as Escrow Agent escrow agent hereunder. Escrow Agent hereby accepts such appointment and, upon receipt by wire transfer of the Escrow Funds in accordance with Section 3 below3, agrees to hold, invest and disburse the Escrow Funds in accordance with this Agreement.

Appointment of and Acceptance by Escrow Agent. The Investor(s) Xxxxx and the Company hereby Sellers’ Representative xxxxxx appoint Escrow Agent to serve as Escrow Agent escrow agent hereunder. Escrow Agent hereby xxxxxx accepts such appointment and, upon receipt by wire transfer of the Escrow Funds Amount in accordance with Section 3 below3, agrees to hold, invest hold and disburse the Escrow Funds in accordance with this Agreement.

Appointment of and Acceptance by Escrow Agent. The Investor(s) User and the Company Contractor hereby appoint Escrow Xxxxxx Agent to serve as Escrow Agent escrow agent hereunder. Escrow Agent hereby accepts such appointment and, upon receipt by wire transfer of the Escrow Funds in accordance with Section 3 below, agrees to hold, invest hold and disburse the Escrow Funds in accordance with this Escrow Agreement.

Appointment of and Acceptance by Escrow Agent. The Investor(s) and the Company hereby appoint Escrow Agent to serve as Escrow Agent escrow agent hereunder. Escrow Agent hereby accepts such appointment and, upon receipt by wire transfer of the Escrow Funds in accordance with Section 3 below, agrees to hold, invest and disburse the Escrow Funds in accordance with this Agreement.

Appointment of and Acceptance by Escrow Agent. The Investor(s) and the Company hereby appoint Escrow Agent to serve as Escrow Agent hereunder. Escrow Agent hereby accepts such appointment and, upon receipt by wire transfer of the Escrow Funds in accordance with Section 3 below, agrees to hold, invest and disburse the Escrow Funds in accordance with this Agreement except as set forth in Securities Purchase Agreement.

Appointment of and Acceptance by Escrow Agent. The Investor(s) Buyer and the Company Seller Representative hereby appoint Escrow Agent to serve as Escrow Agent escrow agent hereunder. Escrow Agent hereby accepts such appointment and, upon receipt by wire transfer of the Escrow Funds in accordance with Section 3 below, agrees to hold, invest and disburse the Escrow Funds in accordance with this Escrow Agreement.

Appointment of and Acceptance by Escrow Agent. The Investor(s) Indemnitor and the Company Indemnitee hereby appoint Escrow Agent to serve as Escrow Agent escrow agent hereunder. Escrow Agent hereby accepts such appointment and, upon receipt of the Escrow Funds, by wire transfer of the Escrow Funds immediately available funds in accordance with Section 3 below, agrees to hold, invest and disburse the Escrow Funds in accordance with this Agreement.

Appointment of and Acceptance by Escrow Agent. The Investor(s) Placement Agent and the Company Company, and the Placement Agent hereby appoint Escrow Agent to serve as Escrow Agent hereunder. Escrow Agent hereby accepts such appointment and, upon receipt by wire transfer of the Escrow Funds in accordance with Section 3 below, agrees to hold, invest and disburse the Escrow Funds in accordance with this Agreement.

Appointment of and Acceptance by Escrow Agent. The Investor(s) Buyer and the Company Seller hereby appoint Escrow Agent to serve as Escrow Agent escrow agent hereunder. Escrow Agent hereby accepts such appointment and, upon receipt by wire transfer of the Escrow Funds in accordance with Section 3 below, agrees to hold, invest and disburse the Escrow Funds in accordance with this Escrow Agreement.

Appointment of and Acceptance by Escrow Agent. The Investor(s) Company and the Company Trustee hereby appoint the Escrow Agent to serve as Escrow Agent escrow agent hereunder. The Escrow Agent hereby accepts such appointment and, upon receipt by wire transfer of the Escrow Funds in accordance with Section 3 below, agrees to hold, invest and disburse the Escrow Funds in accordance with this Agreement.

Appointment of and Acceptance by Escrow Agent. The Investor(s) Purchaser and the Company Seller hereby appoint Escrow Agent to serve as Escrow Agent escrow agent hereunder. Escrow Agent hereby accepts such appointment and, upon receipt by wire transfer of the Escrow Funds in accordance with Section 3 below3, agrees to shall hold, invest and disburse the Escrow Funds in accordance with this Agreement.

Appointment of and Acceptance by Escrow Agent. The Investor(s) and the Company Depositor hereby appoint appoints Escrow Agent to serve as Escrow Agent escrow agent hereunder. Escrow Agent hereby xxxxxx accepts such appointment and, upon receipt by wire transfer of the Escrow Funds Funds, from time to time, in accordance with Section 3 below3, agrees to hold, invest and disburse the Escrow Funds in accordance with this Agreement.

Appointment of and Acceptance by Escrow Agent. (a) The Investor(s) Investor and the Company hereby appoint Escrow Agent to serve as Escrow Agent hereunder. Escrow Agent hereby accepts such appointment and, upon receipt by wire transfer of the Escrow Funds in accordance with Section 3 below, agrees to hold, invest and disburse the Escrow Funds in accordance with this Agreement.
