Common use of Appointment of Committees Clause in Contracts

Appointment of Committees. The directors may, by resolution: (a) appoint one or more committees consisting of the director or directors that they consider appropriate; (b) delegate to a committee appointed under paragraph (a) any of the directors’ powers, except: (i) the power to fill vacancies in the board, (ii) the power to change the membership of, or fill vacancies in, any committee of the board, and (iii) the power to appoint or remove officers appointed by the board; and (c) make any delegation referred to in paragraph (b) subject to the conditions set out in the resolution.
