Common use of Appointment of Corporation as Agent Clause in Contracts

Appointment of Corporation as Agent. If, after reasonable effort, the Corporation is unable to secure Director’s signature on any document needed in connection with the actions specified herein, Director hereby irrevocably designates and appoints the Corporation and its duly authorized officers and agents as Director’s agents and attorneys-in-fact, which appointment is coupled with an interest, to act for and in Director’s behalf to execute, verify and file any such documents and to do all other lawfully permitted acts to further the purposes of this Agreement with the same legal force and effect as if executed by Director. Director hereby waives and quitclaims to the Corporation any and all claims, of any nature whatsoever, which Director now or may hereafter have for infringement of any Proprietary Rights assigned hereunder to the Corporation.

If, after reasonable effort, the Corporation is unable to secure DirectorExecutive’s signature on any document needed in connection with the actions specified herein, Director Executive hereby irrevocably designates and appoints the Corporation and its duly authorized officers and agents as DirectorExecutive’s agents and attorneys-in-fact, which appointment is coupled with an interest, to act for and in DirectorExecutive’s behalf to execute, verify and file any such documents and to do all other lawfully permitted acts to further the purposes of this Agreement with the same legal force and effect as if executed by DirectorExecutive. Director Executive hereby waives and quitclaims to the Corporation any and all claims, of any nature whatsoever, which Director Executive now or may hereafter have for infringement of any Proprietary Rights assigned hereunder to the Corporation.

Director Officer hereby waives and quitclaims to the Corporation any and all claims, of any nature whatsoever, which Director Officer now or may hereafter hiseafter have for infringement of any Proprietary Rights assigned hereunder to the Corporation.
