Appointment of Luxembourg Transfer Agent. For so long as the rules of the Luxembourg Stock Exchange so require, the Company and the Guarantor shall appoint and maintain a transfer agent located in Luxembourg with respect to Securities listed on the Luxembourg Stock Exchange. The Company and the Guarantor agree to pay to each such agent from time to time reasonable compensation for its services under this Section.
