Common use of Appointment of Registrar and Transfer Agent in respect of the Stock Clause in Contracts

Appointment of Registrar and Transfer Agent in respect of the Stock. The Company hereby appoints JPMorgan Chase Bank, N.A. as transfer agent, registrar, dividend disbursing agent and redemption agent in respect of the Stock, and JPMorgan Chase Bank, N.A. hereby accepts such appointments. With respect to the appointments of JPMorgan Chase Bank, N.A. as transfer agent, registrar, dividend disbursing agent and redemption agent in respect of the Stock, JPMorgan Chase Bank, N.A. shall be entitled to the same rights, indemnities, immunities and benefits as Depositary hereunder as if explicitly named in each such provision. Notwithstanding anything to the contrary contained herein, JPMorgan Chase Bank, N.A. in no capacity hereunder shall have any duties or obligations to make or verify any calculations hereunder.
