Appointment of Registrar; Transfer Agent; Paying Agents. 2.1 NHI and the Guarantor hereby appoint the Registrar, as registrar for Registered Notes, upon the terms and conditions set forth herein. The Registrar accepts such appointment as such registrar. For this purpose the Registrar is authorised on behalf of NHI and the Guarantor to act as registrar of NHI and the Guarantor and the Transfer Agent is authorised on behalf of NHI and the Guarantor to act as transfer agent and paying agent of NHI and the Guarantor and in respect of any Registered Notes settling in a Clearing System including, inter alia:
