Common use of Appointment of REMIC Administrators Clause in Contracts

Appointment of REMIC Administrators. (a) The Certificate Administrator may appoint at the Certificate Administrator’s expense, one or more REMIC Administrators, which shall be authorized to act on behalf of the Certificate Administrator in performing the functions set forth in Section 10.01 herein. The Certificate Administrator shall cause any such REMIC Administrator to execute and deliver to the Certificate Administrator an instrument in which such REMIC Administrator shall agree to act in such capacity, with the obligations and responsibilities herein. Each REMIC Administrator must be acceptable to the Certificate Administrator and must be organized and doing business under the laws of the United States of America or of any State and be subject to supervision or examination by federal or state authorities. In the absence of any other Person appointed in accordance herewith acting as REMIC Administrator, the Certificate Administrator hereby agrees to act in such capacity in accordance with the terms hereof. If Xxxxx Fargo Wexxx Xargo Bank, National Association is removed as Certificate Administrator, then Xxxxx Fargo Wexxx Xargo Bank, National Association shall be terminated as REMIC Administrator.

Appointment of REMIC Administrators. (a) The Certificate Administrator Paying Agent may appoint at the Certificate Administrator’s Paying Agent's expense, one or more REMIC Administrators, which shall be authorized to act on behalf of the Certificate Administrator Paying Agent in performing the functions set forth in Section 10.01 herein. The Certificate Administrator Paying Agent shall cause any such REMIC Administrator to execute and deliver to the Certificate Administrator Paying Agent an instrument in which such REMIC Administrator shall agree to act in such capacity, with the obligations and responsibilities herein. The appointment of a REMIC Administrator shall not relieve the Certificate Administrator Paying Agent from any of its obligations hereunder, and the Certificate Administrator Paying Agent shall remain responsible and liable for all acts and omissions of the REMIC Administrator.
