Common use of APPOINTMENT OF SUB-ADMINISTRATOR Clause in Contracts

APPOINTMENT OF SUB-ADMINISTRATOR. The Advisor hereby appoints the Sub-Administrator to act as administrator with respect to the Corporation for purposes of providing certain administrative services for the period and on the terms set forth in this Agreement. The Sub-Administrator accepts such appointment and agrees to render the services stated herein. The Corporation currently consists of the Fund(s) and their respective classes of shares as listed in Schedule A to this Agreement. In the event that the Corporation establishes one or more additional Fund(s) with respect to which the Advisor wishes to retain the Sub-Administrator to act as administrator hereunder, the Advisor shall notify the Sub-Administrator in writing. Upon written acceptance by the Sub-Administrator, such Fund(s) shall become subject to the provisions of this Agreement to the same extent as the existing Fund, except to the extent that such provisions (including those relating to compensation and expenses payable by the Advisor) may be modified with respect to such Fund in writing by the Advisor and the Sub-Administrator at the time of the addition of such Fund.

The Advisor Administrator hereby appoints the Sub-Administrator to act as administrator with respect to the Corporation Trust for purposes of providing certain the administrative services described herein for the period and on the terms set forth in this Agreement. The Sub-Administrator accepts such appointment and agrees to render the services stated hereinsuch services. The Corporation Each Trust currently consists of the Fund(s) Funds and their respective classes of shares shares, as applicable, as listed in Schedule A to this Agreement. In the event that the Corporation Trust establishes one or more additional Fund(s) Funds with respect to which the Advisor Administrator wishes to retain the Sub-Administrator to act as administrator hereunder, the Advisor Administrator shall notify the Sub-Administrator in writing. Upon written acceptance by the Sub-Administrator, such Fund(s) shall become subject to the provisions of this Agreement to the same extent as the existing FundFunds, except to the extent that such provisions (including those relating to compensation and expenses payable by the Advisorpayable) may be modified with respect to such Fund in writing by the Advisor Administrator and the Sub-Administrator at the time of the addition of such Fund. Each such writing shall be considered an amendment to, and become a part of, this Agreement.

The Sub-Administrator accepts such appointment and agrees to render the services stated herein. The Corporation Funds currently consists consist of the Fund(s) and their respective classes Portfolios of shares as listed in Schedule A to this Agreement. In the event that the Corporation Administrator establishes one or more additional Fund(s) with respect to which the Advisor it wishes to retain the Sub-Administrator to act as sub-administrator hereunder, the Advisor Sub-Administrator shall notify the Sub-Administrator in writing. Upon written acceptance by the Sub-Administrator, such Fund(s) shall become subject to the provisions of this Agreement to the same extent as the existing FundFunds, except to the extent that such provisions (including those relating to compensation and expenses payable by the Advisorpayable) may be modified with respect to such Fund Fund(s) in writing by the Advisor Administrator and the Sub-Administrator at the time of the addition of such FundFund(s).

Upon written acceptance by the Sub-Administrator, such Fund(sclass(es) shall become subject to the provisions of this Agreement to the same extent as the existing Fundclass(es), except to the extent that such provisions (including those relating to the compensation and expenses payable by the AdvisorAdministrator) may be modified with respect to such Fund class(es) in writing by the Advisor Administrator and the Sub-Administrator at the time of the addition of such Fundclass(es).

In the event that the Corporation Trust establishes one or more additional Fund(s) with respect to which the Advisor Administrator wishes to retain the Sub-Administrator to act as sub-administrator hereunder, the Advisor Administrator shall notify the Sub-Administrator in writing. Upon written acceptance by the Sub-Administrator, such Fund(s) shall become subject to the provisions of this Agreement to the same extent as the existing Fund, except to the extent that such provisions (including those relating to compensation and expenses payable by the AdvisorAdministrator) may be modified with respect to such Fund in writing by the Advisor Administrator and the Sub-Administrator at the time of the addition of such Fund.

In the event that the Corporation establishes one or more additional Fund(s) Administrator with respect to which the Advisor Fund wishes to retain the Sub-Administrator to act as sub-administrator hereunderhereunder with respect to additional portfolios or funds ("Additional Funds"), hereinafter established by the Advisor shall notify Fund, the Sub-Administrator shall be notified in writingwriting by the Administrator with respect to the Additional Fund. Upon written acceptance by the Sub-Administrator, such Fund(s) Additional Fund shall become subject to the provisions of this Agreement to the same extent as the existing Fund, except to the extent that such provisions (including those relating to the compensation and expenses payable by the AdvisorFund) may be modified with respect to such Fund in writing by the Advisor Administrator and the Sub-Administrator at the time of the addition of such the Additional Fund.

Upon written acceptance by the Sub-Administrator, such Fund(sbusiness development company shall become a Fund hereunder (and Schedule A hereto shall be amended accordingly) and shall become subject to the provisions of this Agreement to the same extent as the existing FundFunds, except to the extent that such provisions (including those relating to compensation and expenses payable by the AdvisorAdministrator) may be modified with respect to such Fund in writing by the Advisor Administrator and the Sub-Administrator at the time of the addition of such Fund.

APPOINTMENT OF SUB-ADMINISTRATOR. The Corporation currently consists Trust will initially consist of the Fund(sportfolio(s) and their respective and/or classes of shares as listed in Schedule A to this Agreement. In the event that the Corporation Trust establishes one or more additional Fund(s) Funds with respect to which the Advisor it wishes to retain the Sub-Administrator to act as sub-administrator hereunder, the Advisor shall notify the Sub-Administrator in writing. Upon written acceptance by the Sub-Administrator, such Fund(s) shall become subject to the provisions of this Agreement to the same extent as the existing FundFund(s), except to the extent that such provisions (including those relating to the compensation and expenses payable by the Advisor) may be modified with respect to such Fund Fund(s) in writing by the Advisor and the Sub-Administrator at the time of the addition of such FundFund(s).

In the event that the Corporation establishes one or more additional Fund(s) with respect Administrator desires to which the Advisor wishes to retain have the Sub-Administrator render services as sub-administrator to act as administrator hereunderany business development companies in addition to those listed on Schedule A hereto under the terms hereof, the Advisor Administrator shall notify the Sub-Administrator in writing. Upon written acceptance by the Sub-Administrator, such Fund(sbusiness development company shall become a Fund hereunder (and Schedule A hereto shall be amended accordingly) and shall become subject to the provisions of this Agreement to the same extent as the existing FundFund(s), except to the extent that such provisions (including those relating to compensation and expenses payable by the AdvisorAdministrator) may be modified with respect to such Fund in writing by the Advisor Administrator and the Sub-Administrator at the time of the addition of such Fund. Each such writing shall be considered an amendment to, and become part of, this Agreement.

In the event that the Corporation establishes one or more additional Fund(s) with respect to which the Advisor Administrator wishes to retain the Sub-Administrator to act as sub-administrator hereunderhereunder with respect to additional portfolios or funds (“Additional Funds”) hereinafter established by the Administrator or by other management investment companies that have retained the Administrator, the Advisor Administrator shall notify the Sub-Administrator in writing. Upon written acceptance by the Sub-Administrator, such Fund(s) Additional Funds shall become subject to be listed on an amended Schedule A and the provisions of this Agreement to the same extent as the existing Fund, except to the extent that such provisions (including those relating to the compensation and expenses payable by the AdvisorAdministrator) may be modified with respect to such each Additional Fund in writing by the Advisor Administrator and the Sub-Administrator at the time of the addition of such Fundthe Additional Funds.
