APPOINTMENT OF SUB-ADMINISTRATOR. KIMCO hereby appoints BISYS as Sub-Administrator for the Funds on the terms and conditions set forth in this Agreement and BISYS hereby accepts such appointment and agrees to perform the services and duties set forth in Section 2 of this Agreement in consideration of the compensation provided for in Section 4 hereof.
