Common use of Appointment of Successor Calculation Agent Clause in Contracts

Appointment of Successor Calculation Agent. Any successor Calculation Agent appointed by the Issuer or by a court following termination of this Agreement pursuant to the provisions of Section 8 hereof shall execute and deliver to the Calculation Agent and to the Issuer an instrument accepting such appointment, and thereupon such successor Calculation Agent shall, without any further act or instrument, become vested with all the rights, immunities, duties and obligations of the Calculation Agent, with like effect as if originally named as Calculation Agent hereunder, and the Calculation Agent shall thereupon be obligated to transfer and deliver, and such successor Calculation Agent shall be entitled to receive and accept, copies of any available records maintained by the Calculation Agent in connection with performance of its obligations hereunder.

Any successor Calculation Agent calculation agent appointed by the Issuer or by a court Bank following termination of this Agreement pursuant to the provisions of Section 8 hereof shall execute and deliver to the Calculation Agent and to the Issuer Bank an instrument accepting such appointment, and thereupon such successor Calculation Agent calculation agent shall, without any further act or instrument, become vested with all the rights, immunities, duties and obligations of the Calculation Agent, with like effect as if originally named as Calculation Agent hereunder, and the Calculation Agent shall thereupon be obligated to transfer and deliver, and such successor Calculation Agent calculation agent shall be entitled to receive and accept, copies of any available records maintained by the Calculation Agent in connection with the performance of its obligations hereunder.

Any successor Calculation Agent appointed by the Issuer or by a court following termination of this Agreement pursuant to the provisions of Section 8 7 hereof shall execute and deliver to the predecessor Calculation Agent and to the Issuer an instrument accepting such appointment, and thereupon such successor Calculation Agent shall, without any further act or instrument, become vested with all the rights, immunities, duties and obligations of the predecessor Calculation Agent, with like effect as if originally named as Calculation Agent hereunder, and the predecessor Calculation Agent shall thereupon be obligated to transfer and deliver, and such successor Calculation Agent shall be entitled to receive and accept, copies of any available records maintained by the predecessor Calculation Agent in connection with the performance of its obligations hereunder.

Any successor Calculation Agent appointed by the Issuer or by a court following termination of this Agreement pursuant to the provisions of Section 8 hereof Operating Partnership shall execute and deliver to the incumbent Calculation Agent and to the Issuer Operating Partnership an instrument accepting such appointment, appointment and thereupon such successor Calculation Agent shall, without any further act or instrument, become vested with all the rights, immunities, duties and obligations of the incumbent Calculation Agent, with like effect as if originally named as initial Calculation Agent hereunder, and the incumbent Calculation Agent shall thereupon be obligated to transfer and deliver, and such successor Calculation Agent shall be entitled to receive and accept, copies of any available records maintained by the incumbent Calculation Agent in connection with the performance of its obligations hereunder.

Any successor Calculation Agent appointed by the Issuer Company or by a court following termination of this Agreement pursuant to the provisions of Section 8 subsection 1(e) hereof shall execute and deliver to the initial Calculation Agent and to the Issuer Company an instrument accepting such appointment, appointment and thereupon such successor Calculation Agent shall, without any further act or instrument, become vested with all the rights, immunities, duties and obligations of the initial Calculation Agent, with like effect as if originally named as the initial Calculation Agent hereunder, and the initial Calculation Agent shall thereupon be obligated to transfer and deliver, and such successor Calculation Agent shall be entitled to receive and acceptreceive, copies of any available records maintained by the initial Calculation Agent in connection with the performance of its obligations hereunder.

Any successor Calculation Agent calculation agent appointed by the Issuer or by a court following termination of this Agreement pursuant to the provisions of Section 8 hereof shall execute and deliver to the Issuer and the Calculation Agent and to the Issuer an instrument accepting such appointment, and thereupon such successor Calculation Agent calculation agent shall, without any further act or instrument, become vested with all the rights, immunities, duties and obligations of the Calculation Agent, with like effect as if originally named as Calculation Agent hereunder, and upon payment of its charges hereunder, the Calculation Agent shall thereupon be obligated to transfer and deliver, and such successor Calculation Agent calculation agent shall be entitled to receive and accept, copies of any available records maintained by the Calculation Agent in connection with the performance of its obligations hereunder.

Any successor Calculation Agent appointed by the Issuer or by a court following termination of this Agreement Company pursuant to the provisions of Section 8 hereof or by a court of competent jurisdiction shall execute and deliver to the incumbent Calculation Agent and to the Issuer Company an instrument accepting such appointment, appointment and thereupon such successor Calculation Agent shall, without any further act or instrument, become vested with all the rights, immunities, duties and obligations of the incumbent Calculation Agent, with like effect as if originally named as initial Calculation Agent hereunder, and the incumbent Calculation Agent shall thereupon be obligated to transfer and deliver, and such successor Calculation Agent shall be entitled to receive and accept, copies of any available records maintained by the incumbent Calculation Agent in connection with the performance of its obligations hereunder.

Any successor Calculation Agent appointed by the Issuer or by a court following termination of this Agreement pursuant to the provisions of Section 8 hereof the foregoing paragraph (g) shall execute and deliver to the predecessor Calculation Agent and to the Issuer Company an instrument accepting such appointment, appointment and thereupon such successor Calculation Agent shall, without any further act or instrument, become vested with all the rights, immunities, duties and obligations of the Calculation Agent, with like effect as if originally named as the initial Calculation Agent hereunder, and the predecessor Calculation Agent shall thereupon be obligated to transfer and deliver, and such successor Calculation Agent shall be entitled to receive and accept, copies of any available records maintained by the predecessor Calculation Agent in connection with the performance of its obligations hereunder.

Any successor Calculation Agent appointed by the Issuer or by a court Company following termination of this Agreement pursuant to the provisions of Section 8 6 hereof shall execute and deliver to the Calculation Agent and to the Issuer Company an instrument accepting such appointment, and thereupon such successor Calculation Agent shall, without any further act or instrument, instrument become vested with all the rights, immunities, duties and obligations of the Calculation Agent, with like effect as if originally named as Calculation Agent hereunder, and the Calculation Agent shall thereupon be obligated to transfer and deliver, and such successor Calculation Agent shall be entitled to receive and accept, copies of any available records maintained by the Calculation Agent in connection with the performance of its obligations hereunder.
