Common use of Appointment of Successor Rights Agent Clause in Contracts

Appointment of Successor Rights Agent. The Company hereby appoints AST, and AST accepts such appointment, as Rights Agent under the Rights Agreement, and AST shall be vested with the same powers, rights duties and responsibilities as if it had originally been named as Rights Agent without further act or deed.

Appointment of Successor Rights Agent. The Company hereby appoints AST, and AST accepts such appointment, as Rights Agent under pursuant to Section 21 of the Rights Agreement, to serve in that capacity for the consideration and subject to all of the terms and conditions of the Rights Agreement. AST shall be vested with hereby accepts the same powers, rights duties and responsibilities as if it had originally been named appointment as Rights Agent without further act or deedpursuant to Section 21 of the Rights Agreement and agrees to serve in that capacity for the consideration and subject to all of the terms and conditions of the Rights Agreement. From and after the effective date hereof, each and every reference in the Rights Agreement to a “Rights Agent” shall be deemed to be a reference to AST.

The Company hereby appoints ASTAST to act as Rights Agent for the Company (and to replace the Original Rights Agent) in accordance with the express terms and conditions of the Rights Plan, effective as of the date hereof, and AST hereby accepts such appointment, as Rights Agent under the Rights Agreement, and AST shall be vested with the same powers, rights duties and responsibilities as if it had originally been named as Rights Agent without further act or deed.
