Appointment of the Escrow Agent; Deposit of Escrow Amount. Seller and Purchaser hereby constitute and appoint the Escrow Agent as, and the Escrow Agent hereby agrees to assume and perform the duties of, the escrow agent under and pursuant to this Agreement. The Escrow Agent acknowledges receipt of an executed copy of the Acquisition Agreement and of the amount of Four Hundred Thousand dollars ($400,000) (the "Escrow Amount") from Purchaser as provided in Section 2.7 of the Acquisition Agreement.
