Appointment of the Servicer. (a) The servicing, administering and collection of the Pool Receivables shall be conducted by the Person so designated from time to time as the Servicer in accordance with this Section 9.01. Until the Administrative Agent gives notice to Xxxxx (in accordance with this Section 9.01) of the designation of a new Servicer, Xxxxx is hereby designated as, and hereby agrees to perform the duties and obligations of, the Servicer pursuant to the terms hereof. Upon the occurrence and during the continuation of a Servicer Termination Event, the Administrative Agent may (with the consent of the Majority Lenders) and shall (at the direction of the Majority Lenders) designate as Servicer any Person (including itself) to succeed Xxxxx or any successor Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Servicer pursuant to the terms hereof.

Upon the occurrence and during the continuation of a Servicer Termination Eventan Event of Default, the Administrative Agent may (with the consent of the Majority LendersGroup Agents) and shall (at the direction of the Majority LendersGroup Agents) designate as Servicer any Person (including itself) to succeed Xxxxx Xxxx or any successor Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Servicer pursuant to the terms hereof.

Upon the occurrence and during the continuation of a Servicer Termination Eventan Event of Default, the Administrative Agent may (with the consent of the Majority LendersGroup Agents) and shall (at the direction of the Majority LendersGroup Agents) designate as Servicer any Person (including itself) to succeed Xxxxx Foresight or any successor Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Servicer pursuant to the terms hereof.

Upon the occurrence and during the continuation of a Servicer Termination Event, the Administrative Agent may (with the consent of the Majority LendersGroup Agents) and shall (at the direction of the Majority LendersGroup Agents) designate as Servicer any Person (including itself) to succeed Xxxxx Rackspace US or any successor Servicer, on the condition in each case that any such Person so designated shall agree in writing to perform the duties and obligations of the Servicer pursuant to the terms hereof. The Servicer shall be entitled to payment of all Servicing Fees and reimbursable expenses accrued prior to the date of such termination.

Upon the occurrence and during the continuation of a Servicer Termination Eventan Event of Termination, the Administrative Agent may (with the consent of the Majority LendersGroup Agents) and shall (at the direction of the Majority LendersGroup Agents) designate as Servicer any Person (including itself) to succeed Xxxxx CSCDXC or any successor Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Servicer pursuant to the terms hereof.

Upon the occurrence and during the continuation of a Servicer Termination Eventan Event of Default, the Administrative Agent may (with the consent of the Majority LendersGroup Agents) and shall (at the direction of the Majority LendersGroup Agents) designate as Servicer any Person (including itself) to succeed Xxxxx Applied Industrial or any successor Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Servicer pursuant to the terms hereof.

Upon the occurrence and during the continuation continuance of a Servicer Termination Eventan Event of Termination, the Administrative Agent may (with the consent of the Majority LendersGroup Agents) and shall (at the direction of the Majority LendersGroup Agents) designate as Servicer any Person (including itself) to succeed Xxxxx Media LLC or any successor Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Servicer pursuant to the terms hereof.

Upon the occurrence and during the continuation of a Servicer an Event of Termination Eventthat is continuing, the Administrative Agent may (with the consent of the Majority LendersGroup Agents) and shall (at the direction of the Majority LendersGroup Agents) designate as Servicer any Person (including itself) to succeed Xxxxx Chemours or any successor Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Servicer pursuant to the terms hereof.

Upon the occurrence and during the continuation of a Servicer Termination Eventan Event of Termination, the Administrative Agent may (with the consent of the Majority LendersGroup Agents) and shall (at the direction of the Majority LendersGroup Agents) designate as Servicer any Person (including itself) to succeed Xxxxx Xxxxxxx or any successor Servicer, on the condition in each case that any such Person so designated shall agree to perform the duties and obligations of the Servicer pursuant to the terms hereof.

Upon the occurrence and during the continuation of a Servicer Termination Eventan Event of Default, the Administrative Agent may (with the consent of the Majority LendersRequired Purchasers) and shall (at the direction of the Majority LendersRequired Purchasers) designate as Servicer any Person (including itself) to succeed Xxxxx Xxxxxxx or any successor Servicer, on such terms and conditions as the condition Administrative Agent may agree in each case that any such Person so designated shall agree to perform the duties and obligations of the Servicer pursuant to the terms hereofits discretion.
