Common use of Appointment of the Servicer Clause in Contracts

Appointment of the Servicer. The Issuer hereby appoints the Servicer as its agent to service and manage the Receivable Assets other than SUBI Assets and enforce its rights and interests in and under such Receivable Assets and to serve in such capacity until the termination of its responsibilities pursuant to Sections 5.1 or 6.1. In connection therewith and with the Servicer’s appointment as the Servicer with respect to the SUBI Assets pursuant to Section 1.3, the Servicer hereby accepts such appointments and agrees to perform the duties and obligations set forth in this Agreement. The Servicer may, upon giving prior written notice to the Issuer, delegate any duties to any Person, or subcontract with a Sub-Servicer, for the collection, management, servicing or administration of the Receivable Assets; provided, that (a) the Servicer shall remain liable for the performance of the duties and obligations of any delegate or any Sub-Servicer pursuant to the terms hereof and (b) any Sub-Servicing Agreement that may be entered into and any other transactions or services relating to the Receivable Assets involving a Sub-Servicer shall be deemed to be between any Sub-Servicer and the Servicer alone, and the Issuer shall not be deemed party thereto and shall have no obligations, duties or liabilities with respect to any such Sub-Servicer.

The Servicer may, upon giving prior written notice to the Issuer, delegate any duties to any Person, or subcontract with a Sub-Servicer, for the collection, management, servicing or administration of the Receivable Purchaser Assets; provided, that (a) the Servicer shall remain liable for the performance of the duties and obligations of any delegate or any Sub-Servicer pursuant to the terms hereof and (b) any Sub-Servicing Agreement that may be entered into and any other transactions or services relating to the Receivable Purchaser Assets involving a Sub-Servicer shall be deemed to be between any the Sub-Servicer and the Servicer alone, and the Issuer shall not be deemed party thereto and shall have no obligations, duties or liabilities with respect to any such Sub-Servicer.

Appointment of the Servicer. The Issuer Buyer hereby appoints the Servicer as its agent to service and manage the Receivable Assets other than SUBI Assets and Transferred Receivables and, in accordance with the Related Documents, to enforce its Buyer’s rights and interests in and under such each Transferred Receivable Assets and Contract therefor and to serve in such capacity until the termination of its responsibilities pursuant to Sections 5.1 8.01 or 6.19.01. In connection therewith and with the Servicer’s appointment as the Servicer with respect to the SUBI Assets pursuant to Section 1.3therewith, the Servicer hereby accepts such appointments appointment and agrees to perform the duties and obligations set forth in this Agreementherein. The Servicer may, upon giving with the prior written notice to the Issuerconsent of Buyer, delegate any duties to any Person, or subcontract with a Sub-Servicer, Servicer for the collection, management, servicing or administration of the Receivable AssetsTransferred Receivables; provided, provided that (a) the Servicer shall remain liable for the performance of the duties and obligations of any delegate or any such Sub-Servicer pursuant to the terms hereof and hereof, (b) any Sub-Servicing Agreement that may be entered into and any other transactions or services relating to the Receivable Assets Transferred Receivables involving a Sub-Servicer shall be deemed to be between any the Sub-Servicer and the Servicer alone, and the Issuer Buyer shall not be deemed a party thereto and shall have no obligations, duties or liabilities with respect to any such the Sub-Servicer and (c) each Sub-Servicing Agreement shall expressly provide that it shall automatically terminate upon the termination of the Servicer’s responsibilities hereunder in accordance with the terms hereof.

The Servicer may, upon giving prior written notice to the Issuer, delegate any duties to any Person, or subcontract with a Sub-Servicer, for the collection, [management, ,] servicing or administration of the Receivable Purchaser Assets; provided, that (a) the Servicer shall remain liable for the performance of the duties and obligations of any delegate or any the Sub-Servicer pursuant to the terms hereof and (b) any Sub-Servicing Agreement that may be entered into and any other transactions or services relating to the Receivable Assets [Loans] [Purchaser Assets] involving a Sub-Servicer shall be deemed to be between any the Sub-Servicer and the Servicer alone, and the Issuer shall not be deemed party thereto and shall have no obligations, duties or liabilities with respect to any such the Sub-Servicer.
