Common use of Appointment of the Sub-Adviser Clause in Contracts

Appointment of the Sub-Adviser. The Adviser hereby appoints the Sub-Adviser as an investment sub-adviser with respect to the series, or a portion thereof, of the Trust as set forth on Schedule A hereto (the “Series”) for the period and on the terms set forth in this Agreement. To the extent that the Sub-Adviser is not providing advisory services to the entire Series, the term, “Series,” shall be interpreted for purposes of this Agreement to only include those assets of the Series over which the Sub-Adviser is directed by the Adviser to provide investment sub-advisory services. The Adviser may, in its sole discretion, allocate all, only a portion or none of a Series’ assets to the Sub-Adviser for management. The Sub-Adviser will be responsible for the investment of only the assets which the Adviser allocates to the Sub-Adviser for management under this Agreement, plus all investments, reinvestments and proceeds of the sale thereof, including, without limitation, all interest, dividends and appreciation on investments, less depreciation thereof and withdrawals by the Adviser therefrom. The Adviser shall have the right at any time to increase or decrease the allocation of the Series to the Sub-Adviser if the Adviser deems such increase or decrease appropriate. The Sub-Adviser accepts that appointment and agrees to render for the Series the services herein set forth, for the compensation herein provided.

The Sub-Adviser will be responsible for the investment of only the assets which the Adviser allocates to the Sub-Sub- Adviser for management under this Agreement, plus all investments, reinvestments and proceeds of the sale thereof, including, without limitation, all interest, dividends and appreciation on investments, less depreciation thereof and withdrawals by the Adviser therefromtherefrom (the "Managed Portion"). The Adviser shall have the right at any time to increase or decrease the allocation of the Series Managed Portion to the Sub-Adviser if the Adviser deems such increase or decrease appropriate. The Sub-Adviser accepts that appointment and agrees to render for the Series Managed Portion the services herein set forth, for the compensation herein provided.

The Adviser shall have the right at any time (upon reasonable prior notice to the Sub-Adviser) to increase or decrease the allocation of the Series to the Sub-Adviser if the Adviser deems such increase or decrease appropriate, provided that any additions are subject to acceptance by the Sub-Adviser in its discretion. The Sub-Adviser accepts that appointment and agrees to render for the Series the services herein set forth, for the compensation herein provided.

Appointment of the Sub-Adviser. The Adviser hereby appoints the Sub-Adviser to act as an investment a sub-adviser with respect to the seriesCompany, or a portion thereofsubject to the overall policies, direction and review of the Trust as set forth on Schedule A hereto Company’s Board of Directors (the “SeriesBoard”) for and to the period instructions and on supervision of the terms set forth Adviser. The Sub-Adviser shall manage the investment and reinvestment of the assets of the Company in this Agreement. To accordance with the extent that investment policies, restrictions and guidelines applicable to the Sub-Adviser’s management of the Allocated Assets as agreed to in writing from time to time by the Adviser and the Sub-Adviser is not providing advisory services to the entire Series(collectively, the term, “Series,” shall be interpreted for purposes of this Agreement to only include those assets of the Series over which the Investment Guidelines”). The Sub-Adviser is directed by acknowledges and agrees that the various investment management services provided herein will apply to all or a portion of the Company’s assets that the Adviser to provide investment sub-advisory services. The Adviser may, in its sole discretion, shall allocate all, only a portion or none of a Series’ assets to the Sub-Adviser for management. The Sub-Adviser will be responsible for the investment of only the assets which the Adviser allocates from time to the Sub-Adviser for management under this Agreementtime, plus all investments, reinvestments and proceeds of the sale thereof, including, without limitation, all interest, dividends and appreciation on investments, less depreciation thereof and withdrawals by the Adviser therefrom. The Adviser shall have therefrom (the right at any time to increase or decrease the allocation of the Series to the Sub-Adviser if the Adviser deems such increase or decrease appropriate“Allocated Assets”). The Sub-Adviser hereby accepts that appointment such employment and agrees during the term hereof, subject to the oversight of the Board and the Adviser, to render for the Series the services described herein set forth, for the compensation herein providedprovided herein.

To the extent that the Sub-Adviser is not providing advisory services to the entire Series, the term, “Series,” shall be interpreted for purposes of this Agreement to only include those assets of the Series over which the Sub-Adviser is directed by the Adviser to provide investment sub-advisory services. The Adviser may, in its sole discretion, allocate all, only a portion or none of a Series’ assets to the Sub-Adviser for management. In the event the Adviser allocates to the Sub-Adviser less than all of the Series’ assets, the Sub-adviser, when fulfilling its duties under this Agreement, shall not be required to consider the activities of any other investment sub-adviser of the Series or the Trust. The Sub-Adviser accepts that appointment and agrees to render for the Series the services herein set forth, for the compensation herein provided.

The Sub-Adviser may utilize the personnel of its foreign affiliates to assist it with providing its services under this Agreement, provided that the Sub-Adviser will remain responsible for the provision of services under this Agreement.

The Adviser may, in its sole discretion, allocate all, only a portion or none of a Series’ assets to the Sub-Adviser for management. The Sub-Adviser will be responsible for the investment of only the assets which the Adviser allocates to the Sub-Adviser for management under this Agreement, plus all investments, reinvestments and proceeds of the sale thereof, including, without limitation, all interest, dividends and appreciation on investments, less depreciation thereof and withdrawals by the Adviser therefrom. The Adviser shall have the right at any time to increase or decrease the allocation of the Series to the Sub-Adviser if the Adviser deems such increase or decrease appropriate. The Sub-Adviser accepts that appointment and agrees to render for the Series the services herein set forth, for the compensation herein provided.

The Sub-Sub- Adviser will be responsible for the investment of only the assets which the Adviser allocates to the Sub-Adviser for management under this Agreement, plus all investments, reinvestments and proceeds of the sale thereof, including, without limitation, all interest, dividends and appreciation on investments, less depreciation thereof and withdrawals by the Adviser therefromtherefrom (the "Managed Portion"). The Adviser shall have the right at any time upon reasonable advance notice to increase or decrease (which shall not require any advance notice) the allocation of the Series Managed Portion to the Sub-Sub- Adviser if the Adviser deems such increase or decrease appropriate. The Sub-Adviser accepts that appointment and agrees to render for the Series Managed Portion the services herein set forth, for the compensation herein provided. 2.

The Adviser shall have the right at any time to increase or decrease the allocation of the Series Managed Portion to the Sub-Adviser if the Adviser deems such increase or decrease appropriateappropriate and shall provide notice via email to the Sub-Adviser prior to 9:00 am (Eastern time) on the day of any such increase or decrease.
