Common use of Appointment of the Underwriter Clause in Contracts

Appointment of the Underwriter. The Fund hereby appoints the Underwriter as the principal underwriter and distributor of the Fund to sell its shares to the Accounts, and the Underwriter hereby accepts such appointment. The Fund, during the term of this Agreement, shall sell its Shares to the Accounts pursuant to orders obtained by the Underwriter, at the net asset value for each Portfolio determined in the manner set forth in the Prospectus, and upon the terms and conditions set forth below.

Appointment of the Underwriter.
