Appointments to the Board Provisions. 4.1 The contribution of experienced directors is vital. Boards also need new directors who can provide an independent challenge to long-standing practices and thinking. Accordingly, Council Members who are Directors may serve in that capacity for as long as they continue to be elected as Council Members. Similarly, the Council shall (as shareholder) be mindful of its duty to appoint Directors who can provide experience, as well as an independent challenge to long-standing practices and thinking. 4.2 The Council should ensure that its appointments to the Board bring skills and experience that are relevant to the needs of the Board, and are fully aware in advance of the responsibilities that they will undertake. 4.3 The Board must carry out appraisals from time to time of its own performance and of individual Directors including the chairman and, if appropriate, the vice chairman and any Council officer Directors who sit on the Board.
