Approval of Actions and Documents. All actions to be taken by Seller, Parent, the Company and its Subsidiaries in connection with the consummation of the transactions contemplated hereby and the form and substance of all certificates, instruments and other documents delivered to Purchaser or ICF under this Agreement shall be reasonably satisfactory in all respects to Purchaser and ICF.
