Common use of Approval of Assignments of Product Agreements Clause in Contracts

Approval of Assignments of Product Agreements. (a) Promptly, and in any event within five (5) Business Days, following receipt by Seller of a request from a Counterparty for consent to assign its rights, or delegate its duties, under any of the Product Agreements, Seller shall provide notice of such request to Purchaser. Seller and Purchaser shall consult with each other regarding whether to grant such consent. In any event, Seller shall not grant such consent without the prior written consent of Purchaser (which consent shall not be unreasonably withheld).
