Common use of Approval of Counsel; Corporate Matters Clause in Contracts

Approval of Counsel; Corporate Matters. All actions, proceedings, resolutions, instruments and documents required to carry out this Agreement or incidental hereto and all other related legal matters shall have been approved on the Closing Date by Thrasher, Whitley, Hampton & Morgxx, xxunsel for Middle Bay, in the exercise of their reasonable judgment. Shore shall also have delivered to Middle Bay such other documents, instruments, certifications and further assurances as such counsel may reasonably require.
