Common use of Approval of Counsel Clause in Contracts

Approval of Counsel. The exercise of the Option and the issuance and delivery of shares of Common Stock pursuant thereto shall be subject to approval by the Corporation's counsel of all legal matters in connection therewith, including compliance with the requirements of the Securities Act, the Exchange Act and the rules and regulations thereunder, and the requirements of any stock exchange upon which the Common Stock may then be listed.

Approval of Counsel. The exercise of the Option and the issuance and delivery of shares of Common Stock pursuant thereto shall be subject to approval by the CorporationCompany's counsel of all legal matters in connection therewith, including compliance with the requirements of the Securities Act, Act and the Exchange Act and the rules and regulations thereunder, and the requirements of any stock exchange upon which the Common Stock may then be listed.

The exercise of the Option and the issuance and delivery of shares of Common Stock pursuant thereto to the Plan shall be subject to approval by the Corporation's ’s counsel of all legal matters in connection therewith, including including, but not limited to, compliance with the requirements of the Securities ActAct of 1933, as amended, and the Securities Exchange Act of 1934, as amended, and the rules and regulations thereunder, applicable foreign and provincial laws, rules and regulations, and the requirements of any stock exchange or automated trading medium upon which the Common Stock may then be listedlisted or traded.

The parties recognize the Optionee will receive restricted shares subject to Rule 144 restrictions.
