APPROVAL OF ESELCO STOCKHOLDERS; CERTIFICATE OF MERGER. This Agreement, the Merger and the transactions contemplated by this Agreement shall have received the requisite approval and authorization of the ESELCO Stockholders. The Certificate of Merger and the Plan of Merger shall have been executed and delivered by ESELCO.
