APPROVAL OF GUPTA. Prior to DISTRIBUTOR appointing a reseller as a VAR pursuant to this Agreement, DISTRIBUTOR shall secure the approval of GUPTA of such party as a VAR. Such approval shall be subject to such criteria as GUPTA, in its sole and absolute discretion, may determine.
