Common use of Approval of Lessors Clause in Contracts

Approval of Lessors. Seller shall use its commercially reasonable efforts to obtain the consent of each lessor of real property relating to the Acquired Systems listed on Schedule 3.02 as being required to consent to the assignment to Buyer of any lease. Seller shall use its commercially reasonable efforts to obtain a certificate from the lessor under each lease for real property relating to the Acquired Systems to which Seller is a party and which is listed on Schedule 3.08 certifying that: (a) the lease is validly existing and in full force and effect; and (b) all payments under the lease due and payable prior to the date of such certificate have been paid in full.
