Approval of Proceedings. All proceedings to be taken in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be satisfactory in form and substance to Investment Manager or Lender and their counsel; and Investment Manager shall have received copies of all documents or other evidence which they and their counsel may request in connection with such transactions and of all records of corporate proceedings in connection therewith in form and substance satisfactory to Investment Manager or Lender and their counsel.
