APPROVAL OF TRANSFER. From the date hereof to the Closing Date, the Seller agrees to use its good faith efforts, at the Buyer's expense, including the filing and submission of all necessary and appropriate applications and documents, to obtain the approvals and consents of all applicable governmental and regulatory authorities, and any other third party identified as necessary in order to transfer the Business, the Purchased Assets, the Assumed Contracts, the Assumed Leases and the Licenses to the Buyer.
