Common use of Approvals and Filings Clause in Contracts

Approvals and Filings. Except for the consents and approvals set forth in Section 3.1.5 of Sellers’ Disclosure Schedule, no consent, approval or action of, filing with or notice to any Governmental Authority or other Person by either Seller is required in connection with the execution, delivery and performance by either Seller of this Agreement or any of the Transaction Agreements to which it is a party or the consummation of the transactions contemplated hereby or thereby, including the assignment of the Assumed Agreements and the transfer of the Facility Permits to Purchaser.
