Approvals; Confirmations. Buyer shall have obtained documentation, assurances or other evidence satisfactory to Buyer that Buyer and Seller have: (a) Obtained all material consents to the transactions contemplated by this Agreement to be obtained prior to the Closing that are legally or contractually required (including all material consents required under contracts pertaining to the business of the Company); and (b) Received any reasonably necessary regulatory approvals and third party consents relative to the transaction contemplated by this Agreement, on terms reasonably satisfactory to Buyer.
