Approvals, Consents and Filings. Except for the approval ------------------------------- of the Federal Reserve and the Department of Banking, or as set forth in the Independent Disclosure Memorandum, neither the execution and delivery of this Agreement nor the consummation of the transactions contemplated hereby or thereby will (a) require any consent, approval, authorization or permit of, or filing with or notification to, any governmental or regulatory authority, or (b) violate any order, writ, injunction, decree, statute, rule or regulation applicable to Independent, or any of Independent's assets.
