Approvals, Consents, etc. All approvals and consents of and filings with Governmental Entities or other third parties which are required to be obtained or made by Seller in connection with the execution, delivery and performance by Seller of this Agreement (and related agreements) have been or will be duly obtained or made, with the exception only of those referred to in Sections 8.1(b) and 8.1(d) hereof.
