Approvals Obtained Sample Clauses
The "Approvals Obtained" clause confirms that all necessary permissions, consents, or authorizations required for a party to enter into and perform the agreement have been secured. Approvals Obtained. Contractor to obtain all applicable authority approvals necessary for works.
Approvals Obtained. The Vendor has obtained all necessary board approvals in respect of the entry into of this Agreement and the Vendor Documents and the transactions contemplated herein and therein. The execution and delivery of, and the performance by the Vendor of its obligations under, this Agreement and the Vendor Documents will not:
(A) be or result in a breach of any provision of the memorandum or articles of association of the Vendor;
(B) be or result in the breach of, or constitute a default under, any instrument to which the Vendor is a party or by which the Vendor is bound and which is material in the context of the transactions contemplated by this Agreement;
(C) be or result in a breach of any order, judgment or decree of any court or governmental agency to which the Vendor is a party or by which the Vendor is bound and which is material in the context of the transactions contemplated by this Agreement; or
(D) require the Vendor to obtain any consent or approval of, or give any notice to or make any registration with, any governmental or other authority which has not been obtained or made at the date hereof both on an unconditional basis which cannot be revoked (save pursuant to any legal or regulatory entitlement to revoke the same other than by reason of any misrepresentation or misstatement).

Any and all permits, approvals, and other actions of any authority reasonably required in the opinion of counsel for ▇▇▇▇▇▇ for the lawful consummation of the merger as contemplated by this Agreement and the Plan of Merger shall have been obtained, and no such permit, approval, or other action shall contain any provision which in the judgment of ▇▇▇▇▇▇ shall be unduly burdensome.

Any and all permits, approvals, and other actions of any authority required in the opinion of counsel for Shareholders and for Modu-Line for the lawful consummation of the merger as contemplated by this Agreement and the Plan shall have been obtained, and no such permit, approval, or other action shall contain any provision which in the reasonable judgment of Shareholders and Modu-Line shall be unduly burdensome.
