Common use of Approvals of Governmental Bodies Clause in Contracts

Approvals of Governmental Bodies. As promptly as practicable after the date of this Agreement, EAUTOCLAIMS will make any filings required by Legal Requirements to be made by them to consummate the Contemplated Transactions. Between the date of this Agreement and the Closing Date, EAUTOCLAIMS will cooperate with Stockholders with respect to all filings that Stockholders are required by Legal Requirements to make in connection with the Contemplated Transactions, and cooperate with Stockholders in obtaining all consents identified in Part 3.2 of the Disclosure Schedule; provided that this Agreement will not require EAUTOCLAIMS to dispose of or make any change in any portion of its business or to incur any other burden to obtain a Governmental Authorization.

Between the date of this Agreement and the Closing Date, EAUTOCLAIMS Buyer will cooperate reasonably with Stockholders Sellers with respect to all filings that Stockholders Sellers are required by Legal Requirements to make in connection with the Contemplated Transactions, Transactions and cooperate reasonably with Stockholders Sellers in obtaining all consents Consents identified in Part 3.2 Section 3.2(c) of the Disclosure Schedule; provided that this Agreement will not require EAUTOCLAIMS Buyer to dispose of or make any change in any portion of its business or or, except as otherwise contemplated in Section 4.2(c) and Section 5.3, to incur any expense or other burden to obtain a Governmental AuthorizationAuthorization or other Consent.
