Approvals of Third Parties. As soon as practicable after the date hereof, the Company and the Physician shall secure all necessary approvals and consents of landlords to the consummation of the transactions contemplated hereby and shall use their best efforts to secure all necessary approvals and consents of other third parties to the consummation of the transactions contemplated hereby; provided, however, that this covenant shall not require the Company or the Physician to make any material expenditures that are not expressly set forth in this Agreement or otherwise contemplated herein.
