Approvals or Consents. No consents, authorizations, waivers, filings, registrations or approvals are required in connection with the execution and delivery of this Agreement by the Company, the consummation of the transactions contemplated hereby or the performance by the Company of its obligations hereunder.

Sub-Sublessor hereby agrees to promptly furnish to Sublandlord copies of such request for consent or approval received from Sub-Sublessee and to cooperate with Sub-Sublessee (at Sub-Sublessee’s sole cost and expense) to obtain such consent or approval from Sublandlord and Landlord provided that Sub-Sublessor shall have no obligation to incur any costs in connection therewith. If Sublandlord or Landlord shall refuse to give its consent or approval to any request made by Sub-Sublessee then Sub-Sublessor’s refusal to give its consent or approval to such request shall be deemed to be reasonable.
