Common use of Approvals Clause in Contracts

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person is or may become a party or the validity or enforceability thereof.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party party, other than the Agency, is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person is or may become a party or the validity or enforceability thereof.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party of this Agreement and Agreement, the other Loan Documents to which such Person is or may become a party or the Intercreditor Agreement to the extent such Person is party thereto or the validity or enforceability thereof.

No authorization, approval, authorization or consent ofapproval or other action by, and no notice to or filing or registration with, any Governmental Authority or any other third party is or will be necessary required for the due execution, delivery, or delivery and performance by Borrower or any other Obligated Loan Party of this Agreement and the other any Loan Documents Document to which such Person it is or may become to be a party party, the borrowing of the Loans, the use of the proceeds thereof or the validity or enforceability thereofissuance of Letters of Credit hereunder.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party of this Agreement and Agreement, the other Loan Documents to which such Person is or may become a party or the Intercreditor Agreement to the extent such Person is party thereto or the validity or enforceability thereofthereof other than the recording and filing of the Security Documents and financing statements in connection therewith.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by any Borrower or any other Obligated Loan Party of this Agreement and the other Loan Documents to which such Person is or may become a party or the validity or enforceability thereof, except such as have been obtained or made and are in full force and effect and other than (a) the recording and filing of financing statements and Security Documents as required by this Agreement and (b) those third party approvals or consents which could not reasonably be expected to have a Material Adverse Effect.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or other third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Loan Party of this Agreement and the other Loan Documents to which such Person each is or may become a party or for the validity or enforceability thereofthereof except for such authorizations, approvals, consents, filings, and registrations which have been obtained or are required in connection with the recordation or perfection of Liens granted to the Administrative Agent pursuant to the Security Documents.

No authorization, approval, approval or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, delivery or performance by the Borrower or any other Obligated Loan Party of this Agreement and the other Loan Documents to which such Person is or may become a party or the validity or enforceability thereof.

No Except as set forth on Schedule 6.8, no authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by the Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person Borrower is or may become a party or the validity or enforceability thereof.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by the Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person each is or may become a party or for the validity or enforceability thereofthereof except for such authorizations, approvals, consents, filings and registrations which (i) have been obtained or made or (ii) the failure to obtain or make will not have a Material Adverse Effect.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority court, governmental authority, or third party is or will be necessary for the execution, delivery, or performance (a) by Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which Borrower is or may become a party or the validity or enforceability thereof or (b) by any Subsidiary or any Guarantor of the Loan Documents to which such Person is or may become a party or the validity or enforceability thereof.

No authorization, approval, or consent of, and no filing or registration with, any court, Governmental Authority Authority, or third party is or will be necessary for the execution, delivery, or performance by either Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person either Borrower is or may become a party or the validity or enforceability thereof.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority court, governmental authority, or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party Guarantor of this Agreement and the other Loan Documents to which such Person is Borrower and Guarantor are or may become a party parties or the validity or enforceability thereof.

No authorization, approval, or consent ofof that has not been obtained, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party of this Agreement Agreement, and the other Loan Documents to which such Person Borrower is or may become a party or the validity or enforceability thereof, except where the failure to obtain, file or register would not have a material adverse effect on Borrower.

Approvals. No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by the Borrower or any other Obligated Party Guarantor of this Agreement and the other Loan Documents to which the Borrower or such Person Guarantor, respectively, is or may become a party or the validity or enforceability thereof, except for filings contemplated by Sections 7.1(i) and 7.1(j) hereof.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by any Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person is or may become a party or the validity or enforceability thereof.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by either Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person it is or may become a party or for the validity or enforceability thereofthereof except for such approvals or consents which have been obtained or made and disclosed in writing to the Banks.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by either Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person it is or may become a party or for the validity or enforceability thereofthereof except for such approvals or consents which have been obtained or made and disclosed on Schedule 1.2 to the Security Agreement.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by Borrower or any and each other Obligated Party of this Agreement and the other Loan Documents to which Borrower or such Person Obligated Party is or may become a party or the validity or enforceability thereof.

No Other than filings to be made on or around the Closing Date, no authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Party of this Agreement and the other Loan Documents to which such Person is or may become a party or the validity or enforceability thereof.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or third party is or will be necessary for the execution, delivery, or performance by Borrower or any other Obligated Loan Party and Parent Guarantor of this Agreement and the other Loan Documents to which such Person Loan Party or Parent Guarantor is or may become a party or the validity or enforceability thereofthereof other than the recording and filing of the Security Documents and financing statements in connection therewith.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or other third party is or will be necessary for the execution, delivery, or performance by the Borrower or any other Obligated Party Guarantor of this Agreement and the other Loan Documents to which such Person it is or may become a party or for the validity or enforceability thereof.

No authorization, approval, or consent of, and no filing or registration with, any Governmental Authority or other third party is or will be necessary for the execution, delivery, or performance by the Borrower or any other Obligated Party Subsidiary of this Agreement and the other Borrower of the Loan Documents to which such Person it is or may become a party party, except where the failure to obtain any such authorization, approval or consent could not reasonably be expected to have a Material Adverse Effect, or for the validity or enforceability thereof.
