Approved Section 363 Sale. The Second Lien Creditor agrees that it will not raise any objection or oppose a motion to sell or otherwise dispose of any Collateral free and clear of its Liens or other claims under the Bankruptcy Code, including Sections 363 and 1129, provided that (i) the First Lien Lender shall have consented to such sale or disposition of such assets, (ii) the Lien of the Second Lien Creditor shall attach to the proceeds of such sale or disposition (subject to the Lien priorities of this Agreement), (iii) the Sale is not to the First Lien Lender or a Controlled Affiliate of the First Lien Lender, and (iv) notwithstanding Section 2.13(b) hereof, the Second Lien Creditor shall have the right to object to the use of such proceeds by any Loan Party unless all such proceeds are received by First Lien Lender and applied to repay the First Lien Debt and/or any other senior debt.
