Common use of Arising Proprietary Information Clause in Contracts

Arising Proprietary Information. It shall be the responsibility of the Operating Agent to promptly identify information arising from its respective Annex, including computer software developed under that Annex, which qualifies as proprietary information under this Article and to ensure that it is marked "Proprietary Information." If any Participant in the particular Task questions the decision of the Operating Agent regarding the proprietary nature of arising information, the question shall be submitted to the Executive Committee for decision. Proprietary information arising from any Task shall be owned by the Operating Agent, who shall hold it in trust for and for the benefit of the Participants in the Task.
