Articles; By-Laws. Receipt by Lender of copies of the articles of incorporation and bylaws of Borrower as in effect on date hereof, certified as to truth and accuracy by the corporate secretary of Borrower.
Articles; By-Laws. A copy of the By-Laws of Company certified by the secretary of Company, and a copy of the Articles of Incorporation of Company certified by the Secretary of State of the state of incorporation of Company.
Articles; By-Laws. A copy of the Operating Agreement of Company certified by the Secretary of Company, and a copy of the Articles of Organization of Company certified by the Wisconsin Department of Financial Institutions.
Articles; By-Laws. A copy of the organizational documents of the Subsidiaries certified by the Managing Director of said Subsidiaries, and a copy of the Articles and Certificate of Incorporation or Articles and Memorandum of Association or Formation Agreement of each Subsidiary certified by the appropriate governmental authority, court, or agency of such Subsidiary's organizational jurisdiction.
Articles; By-Laws. Receipt by Lender of copies of the articles of incorporation and bylaws (or equivalent documents) of each of Borrower and Guarantor as in effect on the Closing Date, certified as to truth and accuracy by the Secretary or an Assistant Secretary of such Borrower or Guarantor.
Articles; By-Laws. A copy of the Amended and Restated By-Laws of Company as of the Closing Date in the form attached hereto as Exhibit D, certified by the secretary of Company, and a copy of the Articles of Incorporation of Company certified by the Secretary of State of the state of incorporation of Company.
Articles; By-Laws. A copy of the By-Laws of Company, certified by the President of Company, together with a copy of the Articles of Incorporation certified by the President and Good Standing Certificates of Company, certified by the Comptroller of Public Accounts of the State of Texas.
Articles; By-Laws. A certificate signed by the Secretary or Assistant Secretary of the Borrower certifying copies of the articles of incorporation (which articles have been certified as of a recent date by the Secretary of State of the State of Maryland) and by-laws of the Borrower.
Articles; By-Laws. The execution and delivery of this Agreement does not, and the consummation of the transactions contemplated hereby will not, conflict with the terms and provisions of the Articles of Incorporation or By Laws of PGE.
Articles; By-Laws. A copy of the By-Laws of LBB certified by the secretary of LBB; a copy of the By-Laws of Liberty certified by the secretary of Liberty, and a copy of the Articles of Association and Articles of Incorporation of Liberty and LBB, respectively, certified by the Wisconsin Department of Financial Institutions.
