Articles; By-Laws. Receipt by Lender of copies of the articles of incorporation and bylaws of Borrower as in effect on date hereof, certified as to truth and accuracy by the corporate secretary of Borrower.
Articles; By-Laws. A copy of the By-Laws of Company certified by the secretary of Company, and a copy of the Articles of Incorporation of Company certified by the Secretary of State of the state of incorporation of Company.
Articles; By-Laws. (i) A copy of the By-Laws of Company and Family Corp. certified by their respective secretaries, and a copy of their respective Articles of Incorporation certified by the Secretary of State of Wisconsin and (ii) a copy of the corporate statutes of Subsidiary, as filed in the Registre de Commerce.
Articles; By-Laws. A copy of the By-Laws of LBB certified by the secretary of LBB; a copy of the By-Laws of Liberty certified by the secretary of Liberty, and a copy of the Articles of Association and Articles of Incorporation of Liberty and LBB, respectively, certified by the Wisconsin Department of Financial Institutions.
Articles; By-Laws. Copies of the estatutos sociales of Company and the Subsidiaries certified by the secretaries of Company and the Subsidiaries.
Articles; By-Laws. Receipt by Lender of copies of the articles of incorporation and bylaws of each of Borrower and the Gamma Acquisition Subsidiary as in effect on the Closing Date, certified as to truth and accuracy by the Secretary or an Assistant Secretary of such Credit Party.
Articles; By-Laws. A certificate signed by the Secretary or Assistant Secretary of the Borrower certifying copies of the articles of incorporation (which articles have been certified as of a recent date by the Secretary of State of the State of Maryland) and by-laws of the Borrower.
Articles; By-Laws. A copy of the By-Laws of Century certified by the Secretary of Century, and a copy of the Articles of Incorporation of Century certified by the Department of Financial Institutions of the State of Wisconsin.
Articles; By-Laws. A copy of the By-Laws of Company, certified by the President of Company, together with a copy of the Articles of Incorporation certified by the President and Good Standing Certificates of Company, certified by the Comptroller of Public Accounts of the State of Texas.
Articles; By-Laws. A copy of the Amended and Restated By-Laws of Company as of the Closing Date in the form attached hereto as Exhibit D, certified by the secretary of Company, and a copy of the Articles of Incorporation of Company certified by the Secretary of State of the state of incorporation of Company.
