Certified copies of the articles or certificate of incorporation and by-laws or other constituent documents of each Loan Party as in effect on the Effective Date and all action, including shareholder approval, if necessary, taken by each Loan Party and/or their respective shareholders or other interest holders to authorize the execution, delivery and performance of this Agreement and the other Loan Documents to which each is a party and the Borrowings under this Agreement and the execution, delivery and performance of the Senior Subordinated Note Documents.
