ARTICLES OF ASSOCIATION AND BY-LAWS. From and after the Effective Time (as defined in Section 1.3 below), the Articles of Association of NAFH Bank, as set forth in Exhibit A, shall be the articles of association of the Surviving Association until thereafter amended in accordance with applicable law. From and after the Effective Time, the By-laws of NAFH Bank, as set forth in Exhibit B hereto, shall be the By-laws of the Surviving Association until thereafter amended in accordance with applicable law.
ARTICLES OF ASSOCIATION AND BY-LAWS. The Articles of Association and the By-Laws of Capital Bank in effect immediately prior to the Effective Date shall be the Articles of Association and the By-Laws of the Surviving Bank, in each case until amended in accordance with applicable law. The Articles of Association of Capital Bank as in effect immediately prior to the Effective Date are set forth as Exhibit A hereto and incorporated by reference.
ARTICLES OF ASSOCIATION AND BY-LAWS. The Articles of Association and By-Laws of Integra Bank shall be the Articles of Association and the By-Laws of the Surviving Bank.

The national bank charter, articles of association and bylaws of The Huntington National Bank in effect immediately prior to the Effective Time shall be the national bank charter, articles of association and the bylaws of the Surviving Bank, in each case until amended in accordance with applicable law and the terms thereof.
ARTICLES OF ASSOCIATION AND BY-LAWS. On and after the Effective Date of the Merger, the articles of incorporation and by-laws of F&M Trust shall continue to be the articles of incorporation and bylaws of the Surviving Bank.

The name of the Surviving Association shall be “Capital Bank, National Association.” From and after the Effective Time (as defined in Section 1.3 below), the Articles of Association of NAFH Bank, as set forth in Exhibit A, shall be the articles of association of the Surviving Association until thereafter amended in accordance with applicable law. From and after the Effective Time, the By-laws of NAFH Bank, as set forth in Exhibit B hereto, shall be the By-laws of the Surviving Association until thereafter amended in accordance with applicable law.

The articles of association and by-laws of Purchaser Bank in effect immediately prior to the Effective Time shall be the articles of association and the by-laws of the Surviving Bank, in each case until amended in accordance with applicable law and the terms thereof.

The Articles of Association and By Laws of Liberty Bank in effect immediately prior to the effectiveness of the Interim Merger shall be and remain the Articles of Association and By Laws of the Surviving Bank without change, until the same shall be amended or replaced as therein provided.
ARTICLES OF ASSOCIATION AND BY-LAWS. The articles of association and by-laws of the Surviving Association immediately after the Merger shall be those of the Company as in effect immediately prior to the Effective Time.
ARTICLES OF ASSOCIATION AND BY-LAWS. 4.1 From and after the Effective Date until they are duly amended, the Articles of Association of the Surviving Association shall read in their entirety as set forth in Schedule "1", attached hereto and made a part hereof by this reference.
