Articles of Formation. The Administrative Agent shall have received the certificate or articles of incorporation or formation, articles of organization, or other comparable organizational instrument (if any) of the Parent Guarantor and the Borrower to be filed with the Secretary of State of the State of Delaware.
Articles of Formation. This Company is organized pursuant to the Texas Limited Liability Act (the "Act") and pursuant to Articles of Formation filed with the Texas Secretary of State on December 30, 2023. The rights and obligations of the Company and the Member shall be provided in this Agreement.
