Common use of Articles of Incorporation; By-laws Clause in Contracts

Articles of Incorporation; By-laws. At the Effective Time: (a) the articles of incorporation of the Merger Sub in effect immediately prior to the Effective Time shall be the articles of incorporation of the Surviving Corporation, except that references to the Merger Sub’s name shall be replaced with references to the Surviving Corporation’s name, until thereafter amended in accordance with the terms thereof or as provided by Applicable Laws; and (b) the by-laws of the Merger Sub as in effect immediately prior to the Effective Time shall be the by-laws of the Surviving Corporation, except that references to the Merger Sub’s name shall be replaced with references to the Surviving Corporation’s name, until thereafter amended in accordance with the terms thereof, the articles of incorporation of the Surviving Corporation, or as provided by Applicable Laws.

Articles of Incorporation; By-laws. At the Effective Time: : (a) the articles of incorporation of the Merger Sub as in effect immediately prior to the Effective Time shall be the articles of incorporation of the Surviving Corporation, except that references therein to the Merger Sub’s name shall be replaced with treated as references to the Surviving Corporation’s name, until thereafter amended in accordance with the terms thereof or as provided by Applicable Lawsapplicable Law; and and (b) the by-laws of the Merger Sub as in effect immediately prior to the Effective Time shall be the by-laws of the Surviving Corporation, except that references to the Merger Sub’s name shall be replaced with references to the Surviving Corporation’s name, until thereafter amended in accordance with the terms thereof, the articles of incorporation of the Surviving Corporation, or as provided by Applicable Lawsapplicable Law.

Articles of Incorporation; By-laws. At the Effective Time: : (a) the articles of incorporation of the Merger Sub Surviving Corporation shall be amended and restated so as to read in effect immediately prior to the Effective Time its entirety as set forth in Exhibit A, and, as so amended and restated, shall be the articles of incorporation of the Surviving Corporation, except that references to the Merger Sub’s name shall be replaced with references to the Surviving Corporation’s name, Corporation until thereafter amended in accordance with the terms thereof or as provided by Applicable Lawsapplicable Law; and and (b) the by-laws of the Merger Sub as in effect immediately prior to the Effective Time shall be the by-laws of the Surviving Corporation, except that references to the Merger Sub’s name shall be replaced with references to the Surviving Corporation’s name, until thereafter amended in accordance with the terms thereof, the articles of incorporation of the Surviving Corporation, or as provided by Applicable Lawsapplicable Law.

Articles of Incorporation; By-laws. At the Effective Time: : (a) the articles of incorporation of the Merger Sub Surviving Corporation shall be amended and restated so as to read in effect immediately prior to the Effective Time its entirety as set forth in Exhibit A, and, as so amended and restated, shall be the articles of incorporation of the Surviving CorporationCorporation until, except that references subject to the Merger Sub’s name shall be replaced with references to the Surviving Corporation’s nameSection 5.10(a), until thereafter amended in accordance with the terms thereof or as provided by Applicable Lawsand applicable Law; and and (b) the by-laws of the Merger Sub as in effect immediately prior to the Effective Time shall be the by-laws of the Surviving Corporation, except that references to the Merger Sub’s name shall be replaced with references to the Surviving Corporation’s namename until, until subject to Section 5.10(a), thereafter amended in accordance with the terms thereof, the articles of incorporation of the Surviving Corporation, or as provided by Applicable Lawsand applicable Law.
