Guarantor has furnished to Lender a true and correct copy of the Articles of Organization and the Operating Agreement and all amendments thereto, and the Operating Agreement constitutes the valid, binding and enforceable obligation of all parties thereto, sets froth the entire agreement of the parties thereto with respect to the subject matter thereof, has not been further amended or modified, and remains in full force and effect.
