The Articles of Organization (the "Articles"), filed with the Secretary of State of the State of Tennessee on December 23, 2002, are hereby adopted and ratified by the Members. In the event of a conflict between the terms of this Agreement and the terms of the Articles, the terms of the Articles shall prevail.
