Articles of Termination. Upon the completion of the distribution of the Company’s assets as provided in Section 8.2 hereof, the Company shall be terminated, and the Manager shall execute and cause the Articles of Termination to be filed with the Director of the Department of Commerce and Consumer Affairs of the State of Hawaii and all qualifications of the Company as a foreign limited liability company to be canceled and shall take such other actions as may be necessary to terminate the Company.
