Common use of Assessments of Compliance and Attestation Reports Clause in Contracts

Assessments of Compliance and Attestation Reports. (a) Pursuant to Rules 13a-18 and 15d-18 of the Exchange Act and Item 1122 of Regulation AB, the Servicer shall deliver to the Depositor on or before March 15 of each calendar year beginning in the year following the year of execution of this Agreement prior to and including the calendar year in which Form 15 Suspension Notice is filed with respect to the Trust and April 30 of each calendar year thereafter, a report regarding the Servicer’s assessment of compliance (an “Assessment of Compliance”) with the servicing criteria during the preceding calendar year. The Assessment of Compliance must be reasonably satisfactory to the Depositor, and as set forth in Regulation AB, the Assessment of Compliance must contain the following:

(a) Pursuant to Rules 13a-18 and 15d-18 of the Exchange Act and Item 1122 of Regulation AB, the Master Servicer shall deliver to the Depositor on or before March 15 of each calendar year beginning in the year following the year of execution of this Agreement prior to and including the calendar year in which Form 15 Suspension Notice is filed with respect to the Trust Fund and April 30 of each calendar year thereafter, a report regarding the Master Servicer’s assessment of compliance (an “Assessment of Compliance”) with the servicing criteria during the preceding calendar year. The Assessment of Compliance must be reasonably satisfactory to the Depositor, and as set forth in Regulation AB, the Assessment of Compliance must contain the following:

The Servicer shall service and administer the Mortgage Loans in accordance with all applicable requirements of the Relevant Servicing Criteria (a) as set forth in Exhibit N hereto). Pursuant to Rules 13a-18 and 15d-18 of the Exchange Act and Item 1122 of Regulation AB, the Servicer shall deliver to the Depositor Trust Administrator on or before March 15 15th (with no cure period) of each calendar year beginning in the year following the year of execution of this Agreement prior to and including the calendar year in which Form 15 Suspension Notice is filed with respect to the Trust and April 30 of each calendar year thereafter2007, a report regarding the Servicer’s assessment of compliance (an “Assessment of Compliance”) with the servicing criteria Servicing Criteria during the preceding calendar year. The Assessment of Compliance must be reasonably satisfactory to the DepositorTrust Administrator, and as set forth in Regulation AB, the Assessment of Compliance must contain the following:
