Asset Transfer and Assumption Agreements. At the Closing, Seller shall deliver to Buyer such Asset Transfer and Assumption Agreements in form and substance reasonably satisfactory to Buyer, as shall be effective to vest in Buyer all right, title and interest of Seller in and to the RP101 Assets.
