Common use of Assets and Liabilities Clause in Contracts

Assets and Liabilities. (a) Both immediately before and after the assignment, transfer and conveyance of Contracts (including the right to receive all payments due or to become due thereunder) and the other Company Assets, the present fair salable value of the Company's assets will be in excess of the amount that will be required to pay the Company's probable liabilities as they then exist and as they become absolute and matured. (b) Both immediately before and after the assignment and transfer of Contracts and the other Company Assets, the sum of the Company's assets will be greater than the sum of the Company's debts, valuing the Company's assets at a fair salable value.
